These terms and conditions govern the sale of all electrically driven ashing and annealing ovens and accessory components or services (“Products”) by Wilt Industries (“we,” “us,” or “our”) to you (“Customer”). By placing an order, you agree to these terms, which form the complete agreement between us and supersede any other terms.
Prices for Products are quoted in US Dollars and are subject to approval. They do not include taxes, which the Customer must pay unless a valid tax exemption certificate is provided. We reserve the right to correct any clerical errors.
Orders must be submitted by purchase order and are not binding until accepted by Wilt Industries in writing or by shipment. All orders are considered irrevocable upon acceptance.
Payment for invoices of $1,500 or less are due at time of shipment and must be paid by credit card. Payment is due net thirty (30) days from the invoice date or as advised on the Wilt Industries quote. Late payments incur interest at 7.5% per month. If your account is overdue for more than 45 days, we may require full prepayment for future orders or refuse to sell until the account is settled.
All Products are shipped EXW (Ex Works) our point of shipment. Title and risk of loss pass to Customer upon delivery to the carrier. Shipping costs are the Customer’s responsibility. Delivery dates are approximate, and we are not liable for delays due to circumstances beyond our control.
Changes to orders must be approved in writing and may incur additional charges. Orders may only be canceled with our written consent and may be subject to cancellation fees.
Customers must notify us in writing of any rejection of Products within ten (10) days of delivery. Returns are only accepted with our written authorization and are subject to our return policies.
We warrant that our Products will conform to specifications and be free from defects in materials and workmanship for one (1) year from the shipment date. Our liability is limited to repairing or replacing defective Products. We are not liable for any indirect, incidental, or consequential damages. This agreement is governed by the laws of the State of New York. Any disputes will be resolved in the courts of Onondaga County, New York.
If any provision of these terms is held invalid, the remaining provisions will remain in effect.
